Terms of Service

1. About these terms

These Terms of Service (“Terms”) govern access to and use of the software, APIs and related services (the “Services”) provided by Lyvora Ltd (“Lyvora”), a company registered in England & Wales under company number 14829301, with its registered office at 128 City Road, London EC1V 2NX, United Kingdom.

2. Nature of the Services

Lyvora provides payment processing software. Lyvora is a technology provider: it is not a bank, an acquirer, a payment institution or an e-money institution, and it does not at any point hold, control or transmit client funds. Settlement of funds is performed exclusively by the acquiring banks and payment institutions connected to the platform.

3. Eligibility and accounts

The Services are offered to businesses only. Clients must complete Lyvora's onboarding and due diligence process before receiving production credentials. Clients are responsible for safeguarding API keys and for all activity performed with their credentials.

4. Acceptable use

Clients must use the Services only for lawful purposes, in compliance with applicable law, card scheme rules and the restrictions set out in their services agreement. Prohibited-category transactions, as defined by the card schemes and Lyvora's policies, may not be processed through the platform.

5. Security and compliance

Lyvora maintains PCI DSS Level 1 Service Provider certification and operates continuous security monitoring. Clients agree to integrate with the Services in accordance with Lyvora's integration guidelines and to promptly apply security-related updates that Lyvora reasonably requires.

6. Availability

Service-level commitments, including uptime targets and support response times, are defined in the services agreement executed between Lyvora and each client. Scheduled maintenance is announced in advance through the status page and client communications.

7. Intellectual property

The Services, including all software, APIs, documentation and trademarks, remain the exclusive property of Lyvora Ltd. Clients receive a limited, non-exclusive, non-transferable licence to use the Services for the duration of their agreement.

8. Liability

To the maximum extent permitted by law, Lyvora's aggregate liability under these Terms is limited as set out in the applicable services agreement. Nothing in these Terms excludes liability that cannot be excluded under English law.

9. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
